Welcome to Easy AI Agents! These Terms of Service ("Terms") govern your access to and use of our services, including chatbot creation, maintenance, development, marketing consulting, and AI tool implementation. By using our services, you agree to comply with these Terms. These Terms are to be read in conjunction with our Privacy Policy and any Risk Documentation (explaining the risks involved with using our services). By accessing and/or using our services, you acknowledge and agree that you have read these documents.

Easy AI Agents operates under the jurisdiction of New Zealand. All intellectual property, including our name, logo, Voice AI, and chatbot services, is protected under applicable laws.

All proprietary designs, chatbot flows, and other deliverables remain the intellectual property of Easy AI Agents.

2. Services Offered
2.1 Description of Services
Easy AI Agents offers the following services:

Chatbot and Voice AI creation, maintenance, and development

Marketing consulting and management

Implementation of AI & digital tools to streamline and integrate into clients' operating systems

2.2 Service Tiers and Payment Plans
We provide service tiers with options for one-time payments and recurring monthly subscription fees. Failure to pay subscription fees may result in the suspension or termination of services.

3. Payments and Cancellations
3.1 Payment Policies

One-time payments are non-refundable unless service delivery is prevented by Easy AI Agents.

Subscriptions are billed monthly, with overdue amounts carried forward to the next billing cycle.

If payment remains unpaid after two reminders, services will be terminated.

3.2 Cancellations

Clients may cancel services within 30 days of purchase.

One-time payment fees are non-refundable once a product or service has been delivered.

4. Client Responsibilities
4.1 Access Requirements
Clients must provide access to relevant systems, including social media accounts, for the integration of our chatbots and AI tools. Failure to provide access may impact service delivery.

4.2 Third-Party Rights
Clients must ensure that any content or data provided to Easy AI Agents does not infringe on third-party rights, including intellectual property or privacy laws.

5. Ownership and Use
5.1 Retention of Ownership
All voice AI and chatbot designs, flows, and associated intellectual property remain the exclusive property of Easy AI Agents.

5.2 Use Restrictions
Clients are prohibited from duplicating, copying, or modifying our voice AI and chatbot flows without prior written consent.

6. Conduct
6.1 User Conduct Requirements
When using our Platform or Services, you agree to:

Comply at all times with New Zealand law.

Not interfere with or attempt to impair our computer systems or transmit software viruses, worms, other harmful files, or malware.

Not use a robot, spider, scraper, or other unauthorized automated means to access the Platform or Services or any content on the Platform.

Not attempt to gain unauthorized access to any part of the Platform or Services, including attempting to gain access to a User Account other than yours.

Not attempt to reverse engineer, disassemble, or otherwise attempt to construct, copy, or replicate the Platform’s source code, formulas, or processes.

Ensure that all information provided to us is current, complete, and accurate, including contact details.

Not use the Platform and/or Services to engage in any restricted or criminal activities.

7. Limitations of Liability
7.1 Service Performance
Easy AI Agents does not guarantee specific service performance as results may vary based on client’s existing operations, market conditions, and external economic factors. We hold no liability for interruptions caused by unforeseen circumstances outside our control.

7.2 Liability Exclusions
To the maximum extent permitted by law, we are not liable for any loss, cost, damage, liability, claim, or expense arising from:

Corruption or loss of data or other information.

Malware transmitted to your computer by use of the Services and/or Platform.

Interruption, suspension, or discontinuance of the Platform and/or Services.

Time delays or differences between our systems and your device.

7.3 No Special Damages
To the extent permitted by law, Easy AI Agents is not liable for any special, indirect, incidental, punitive, or consequential damages arising out of or in connection with these Terms, regardless of cause.

8. Termination
8.1 Client Rights
Clients may terminate services at any time, provided adequate notice is given. Subscription fees already paid are non-refundable for services rendered.

8.2 Easy Cancellation
We are committed to providing a transparent and simple process for service cancellations.

9. Fair Trading Act and Consumer Guarantees Act
9.1 Consumer Protections
Nothing in these Terms limits your rights under the Fair Trading Act 1986 or the Consumer Guarantees Act 1993.
