Terms of Service

These terms govern your use of easyaiagents.io and any AI phone agent services provided by Easy AI Agents ("we," "us," "our"). By using our website or services, you agree to these terms.
These terms apply to all service arrangements we hold, including those established before these terms were published.
What we provide
We build and operate custom AI phone agents for businesses. Each agent is designed around your specific business, including your services, pricing, service area, and preferences. We handle the build, testing, deployment, and ongoing monitoring.
The specific scope of work for your business is outlined in your Service Agreement, which is a separate document provided during onboarding.
Money-back guarantee
New clients are covered by a 14-day money-back guarantee from the date of payment. This covers the full engagement including build, testing, and live operation. If you are not satisfied for any reason within this period, we will issue a full refund of all fees paid. Delays in providing required information do not extend the guarantee period. After the guarantee period, the service continues on a month-to-month basis.
Billing and payment
All recurring fees are charged automatically to your payment method on file. Additional charges, including overage minutes, scope changes, or one-off services, may be invoiced separately. We accept payment via direct bank transfer or credit/debit card through our payment processor.
Your Service Agreement specifies your setup fee, monthly fee, included minutes, and any overage rates. All fees are in New Zealand Dollars and exclude GST unless stated otherwise.
Your monthly plan fee is charged automatically on your billing date each month. You are responsible for keeping your payment method current.
Separately invoiced charges are due within 7 days of issue unless otherwise agreed in writing.
Failed and late payments
If a recurring payment fails, our payment processor will retry the charge automatically. We will notify you of any failed payment by email.
If a recurring payment remains unsuccessful for 7 days, or if a manual invoice remains unpaid for 7 days past the due date, we reserve the right to suspend your service without further notice. During suspension, the AI agent will stop answering calls and all access to systems and integrations will be paused.
To reactivate a suspended service, you will need to clear the outstanding balance and confirm a valid payment method. A reactivation fee may apply.
We are not liable for any missed calls, lost business, or other consequences resulting from service suspension due to non-payment.
Overages
If your AI agent usage exceeds the minutes included in your monthly plan, additional usage will be billed at the overage rate specified in your Service Agreement. Overage charges are calculated at the end of each billing period and invoiced separately. Overage invoices are due within 7 days.
Cancellation
Either party can cancel the service with 30 days written notice. Email support@easyaiagents.io to cancel.
Upon cancellation:
- Your AI agent will be deactivated at the end of the current billing period
- Access to all systems, workflows, and integrations will be revoked
- Call data will be deleted within 90 days unless you request earlier deletion or we are required by law to retain it
- No refunds are issued for partial months after the guarantee period
What we own
All AI voice agents, automated systems, workflows, prompts, integrations, and infrastructure we develop remain our property. You receive access to these systems for the duration of your active subscription. You do not receive ownership of, or rights to, the underlying system, code, or architecture.
We may use general knowledge, techniques, and experience gained during your engagement to improve our services for other clients. We will not share your specific business information, customer data, or proprietary processes.
What you own
You retain ownership of all business information, customer data, and proprietary materials you provide to us. We use this information solely to build and operate your AI agent.
Confidentiality
We treat all client information as confidential. This includes your business processes, customer details, pricing, internal documents, and any data generated by the AI agent relating to your customers or operations.
We will not use, sell, or share your specific business information or customer data with third parties, except as required to deliver the service (for example, passing caller data to your CRM or scheduling system as part of normal agent operation).
Upon termination, we will delete your confidential information on written request, excluding any records we are legally required to retain.
Service availability
We aim to keep your AI agent operational at all times, but we do not guarantee uninterrupted or error-free service.
Our services rely on third-party platforms including telephony providers, AI and voice generation services, cloud hosting, and other tools. We select reputable providers and take reasonable steps to ensure quality, but we are not liable for outages, delays, data loss, or performance issues caused by third-party providers.
If a service disruption occurs on our end, we will notify you and work to restore service as quickly as possible.
Limitation of liability
To the maximum extent permitted by New Zealand law, our total liability to you for any claims arising from or related to these terms or our services is limited to the fees you paid us in the three months before the claim arose.
We are not liable for any indirect, incidental, consequential, or special damages, including lost revenue, lost customers, or business interruption, even if we were advised of the possibility of such damages.
Force majeure
We are not liable for delays or failures caused by events beyond our reasonable control. This includes natural disasters, government actions, power failures, internet outages, failures of third-party platforms, pandemics, or similar events. We will notify you and resume service as soon as practical.
Changes to services or scope
Any changes to the scope of work outlined in your Service Agreement will be discussed and agreed in writing before implementation. Additional services or modifications outside the original scope may be quoted and billed separately.
Disputes
If a dispute arises, both parties will first attempt to resolve it through good-faith negotiation. If that fails, either party may submit the dispute to mediation with a mutually agreed mediator. If mediation fails, the dispute may be submitted to arbitration or litigation. All disputes are governed by New Zealand law and administered in New Zealand.
Subcontractors
We may engage subcontractors to assist in delivering the services. We remain responsible for all work performed by subcontractors and for any confidential information shared with them.
Changes to these terms
We may update these terms from time to time. Changes take effect when posted to this page. We will not reduce your rights under active Service Agreements without written notice. The "Last updated" date at the top tells you when these terms were last revised.
Governing law
These terms are governed by the laws of New Zealand.
